These Terms of Service ("Terms") govern your use of the LoyoraPay platform operated by LoyoraPay LLC ("LoyoraPay", "we"). By accessing or using the platform, you agree to these Terms. If you are using LoyoraPay on behalf of an organisation, you represent that you have authority to bind that organisation.
LoyoraPay provides demand-aware loyalty programme software accessible via a web console and API. We may update, modify, or discontinue features with reasonable notice.
Fees are billed monthly or annually in advance. All fees are non-refundable except as required by law. We may change pricing with 30 days' written notice. Failure to pay may result in suspension of service.
You retain ownership of your data. You grant LoyoraPay a limited licence to process your data to deliver the service. We process member data on your instructions as a data processor. Our Privacy Policy governs data handling.
You may not use LoyoraPay to: send unsolicited communications without consent; violate applicable laws; interfere with platform infrastructure; or resell access without prior written agreement.
LoyoraPay retains all rights in the platform, software, and documentation. These Terms do not transfer any intellectual property rights to you.
To the maximum extent permitted by law, LoyoraPay's total liability to you for any claim arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
The platform is provided "as is". We warrant that we will deliver the service with reasonable skill and care. We do not warrant uninterrupted or error-free operation.
Either party may terminate with 30 days' written notice. We may terminate immediately on material breach or non-payment. On termination, you may export your data within 30 days.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws provisions. Disputes shall be resolved by binding arbitration in Delaware.
We will notify you by email of material changes 30 days in advance. Continued use after that date constitutes acceptance.
